    Supermicro Denies Executive Knowledge of Chip Diversion

    Supermicro ($SMCI) has released the results of an independent investigation that found no evidence that current executives were involved in or aware of the allegations regarding the diversion of servers equipped with NVIDIA ($NVDA) chips to China. Although the company is not directly charged in the case, it highlights risks related to the AI server supply chain and U.S. export controls.

    On the 20th (local time), Supermicro announced the completion of the investigation led by independent board members. The investigation was overseen by Scott Angel, Senior Independent Director of Supermicro, and Tally Liu, Chair of the Audit Committee, with external legal advice provided by Munger, Tolles & Olson. AlixPartners participated as forensic accounting advisors.

    The investigation team reviewed transactions mentioned in an indictment released by the U.S. Attorney's Office for the Southern District of New York in March 2026, as well as other customer transactions involving restricted products. Supermicro stated that there is no evidence that current senior executives were aware of plans for product exclusivity or actual exclusivity of restricted products, nor is there evidence that the company sold export-controlled products directly to restricted parties or regions. It also found no basis for questioning the reliability of previously disclosed financial statements.

    The case stems from U.S. export controls on advanced semiconductors to China. On March 19, the Southern District of New York indicted Yih-Shyan "Wally" Liaw, former Senior Vice President of Business Development at Supermicro, Ruei-Tsang "Steven" Chang, a sales manager in Taiwan, and Ting-Wei "Willy" Sun, a contractor, for allegedly conspiring to send high-performance servers containing specific GPUs to China without the Department of Commerce's approval.

    The indictment detailed a structure where a Southeast Asian company was set up as an intermediary buyer to obscure the end user, with servers assembled in the U.S. before being routed through Taiwan and Southeast Asia to China. The prosecution described the scale of the related servers as worth billions of dollars. Supermicro stated that the company was not named as a defendant at that time and was not charged with any illegal activity.

    Export controls are regulations that restrict the overseas transfer of sensitive technologies or equipment for national security reasons. AI servers and high-performance GPUs are core equipment used for large-scale computations and are major targets of U.S. regulations on advanced technology exports to China. This issue is interpreted not merely as an internal corporate control problem but in conjunction with the U.S.-China technology conflict.

    This investigation does not conclude the company's legal liability. Supermicro has taken personnel actions against relevant employees, including terminations, and the board has adopted all recommendations to strengthen its export compliance program. Some measures have already been implemented under the supervision of the Chief Legal Officer and Chief Compliance Officer, while remaining measures will be monitored by independent directors.

    Previously, this publication reported the conclusion of an internal investigation into the alleged diversion of AI servers valued at $2.5 billion. At that time, the company stated it found no evidence of executive involvement, but the burden of a criminal trial involving a co-founder and external investigations remains separate.

    Market participants are interested in this issue because semiconductor export controls and AI server sales are intertwined within a single company. On August 11, Supermicro reported that its revenue for the fiscal year 2026 reached $39.06 billion (approximately 54.9 trillion won), up from $21.97 billion (approximately 30.42 trillion won) the previous year. On the same day, the company explained that it generated new orders exceeding $60 billion (approximately 83.1 trillion won).

    However, financial indicators also show some burdens. As of June 30, 2026, cash and cash equivalents amounted to $7.5 billion (approximately 10.39 trillion won), while bank debt and convertible bonds totaled $8.7 billion (approximately 12.5 trillion won). Inventory was recorded at $12.895994 billion (approximately 17.86 trillion won).

    As the order size in the AI server industry increases, the procurement of components, assembly, logistics, and final customer verification procedures become more complex. Servers equipped with high-performance GPUs require more stringent checks on export targets and end-use locations compared to general IT equipment. Consequently, internal sales controls and external distribution network management have emerged as critical evaluation factors alongside performance.

    For domestic investors, this issue serves as a case study in observing the flow of U.S. AI infrastructure supply chains and semiconductor regulations. As demand for NVIDIA GPUs, server manufacturers, and data center equipment is interconnected, compliance issues for specific companies can lead to risk assessments across related industries.

    While the investigation results delineate the knowledge of executives, they do not replace the judgments of investigative agencies or courts. The export compliance measures adopted by the company and the progress of external procedures will be key points to monitor moving forward.
